These Terms & Conditions (“Terms”) govern your access to and use of the websites, mobile applications, and services provided by Verticos.ai LLC (“Verticos,” “we,” “us,” or “our”), including Trusso, Scanstead, and Verticos for Travel (collectively, the “Services”).

By creating an account, downloading an app, or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a business, you represent that you have authority to bind that business, and “you” refers to that business.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are intended for business use.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use of your account.

3. Subscriptions, Trials, and Payment

• Certain features of the Services require a paid subscription. Prices and plan details are presented at the point of purchase.
• Purchases made through the Apple App Store or Google Play are processed by those platforms and are subject to their payment terms. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period, and can be managed or canceled in your App Store or Google Play account settings.
• If we offer a free trial, the subscription fee applies automatically at the end of the trial unless you cancel before the trial ends.
• Except where required by law or by the applicable app store’s policies, payments are non-refundable.
• We may change pricing with reasonable advance notice; changes apply at your next renewal.

4. Your Content

The Services allow you to enter, upload, and generate content such as customer records, estimates, invoices, scans, measurements, photos, itineraries, and communications (“Customer Content”). You retain all rights to your Customer Content. You grant Verticos a limited, non-exclusive license to host, process, transmit, and display Customer Content solely as needed to provide and improve the Services and as described in our Privacy Policy.

You are responsible for your Customer Content, including having the rights and permissions necessary to submit it (for example, consent to store your customers’ contact details or to scan a property you have been given access to).

5. AI-Assisted Features

• The Services use artificial intelligence to interpret information, prepare drafts, generate measurements and records, recommend actions, and automate routine tasks.
• AI-generated output may contain errors or inaccuracies. It is provided to assist you, not to replace your professional judgment.
• You are responsible for reviewing AI-generated output before relying on it or sending it to third parties—including estimates, invoices, measurements, itineraries, bookings, and communications.
• Measurements and floor plans produced by Scanstead are estimates derived from device sensors and are not a substitute for professional surveys where precise measurements are legally or contractually required.
• The Services are not a source of legal, financial, tax, or other professional advice.

6. Acceptable Use

You agree not to:

• Use the Services in violation of any applicable law or regulation, including privacy, consumer-protection, and communications laws (such as laws governing text messages and email marketing);
• Scan, photograph, or record properties or persons without proper authorization;
• Upload content that is unlawful, infringing, or harmful, or that contains malware;
• Attempt to gain unauthorized access to the Services or interfere with their operation;
• Reverse engineer, copy, resell, or sublicense the Services except as permitted by law;
• Use the Services to build a competing product.

7. Intellectual Property

The Services, including all software, designs, logos, and content provided by Verticos (excluding Customer Content), are owned by Verticos.ai LLC or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes in accordance with these Terms.

8. Third-Party Services

The Services may interoperate with third-party services (for example, email providers, calendars, payment processors, or booking platforms). Your use of third-party services is governed by their own terms, and we are not responsible for third-party services.

9. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access to the Services if you violate these Terms, if required by law, or if we discontinue the Services. Upon termination, your right to use the Services ends; sections that by their nature should survive (including Sections 4, 7, 10, 11, and 12) will survive.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE OR COMPLETE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERTICOS AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) FIFTY U.S. DOLLARS (US $50).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Verticos from and against claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your Customer Content, your use of the Services in violation of these Terms, or your violation of applicable law.

13. Apple App Store and Google Play Terms

If you download our apps from the Apple App Store or Google Play, you acknowledge that these Terms are between you and Verticos only, not with Apple Inc. or Google LLC. Apple and Google are not responsible for the Services and have no obligation to provide maintenance or support. Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to apps downloaded from the App Store and may enforce these Terms against you.

14. Changes to the Services and These Terms

We may modify the Services or these Terms from time to time. If we make material changes to these Terms, we will provide notice by updating the date at the top of this page and, where appropriate, by additional notice in the app or by email. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the United States and the state in which Verticos.ai LLC is organized, without regard to conflict-of-law principles. Before filing a claim, you agree to contact us at legal@verticos.ai and attempt to resolve the dispute informally.
